These terms govern your use of the website lightdrop.com and the other online services of Lightdrop, Inc. (“Lightdrop”, “we”, “us”), including Lightdrop HQ, our application at hq.lightdrop.com. By using any of them, you accept these terms.

Using this website

You may use lightdrop.com to learn about Lightdrop, read what we publish and contact us. The articles, guides and tools on the site are general information, not professional advice for your particular situation.

Ownership

The website and everything on it, including the text, design, graphics, software and the Lightdrop name and logo, belong to Lightdrop or its licensors and are protected by copyright and trademark law. You may not copy, republish or reuse them without our written permission, except as the site expressly allows.

Acceptable use

When you use our website or services, do not try to get past a password or other access control, probe or scan them, automate access except through means we provide, interfere with their operation, or use them to break the law or anyone's rights.

Other companies' sites and services

The website links to sites and uses services run by other companies. We are not responsible for their content or practices, and their own terms and policies apply to them.

Privacy

Our Privacy Policy explains what personal information we collect and how we use it.

Lightdrop HQ: end-user license agreement

Lightdrop HQ, at hq.lightdrop.com, is Lightdrop's internal application. Our team works in it, and we use it to share reports, dashboards and pages with clients. This section is the end-user license agreement for HQ, including its connection to QuickBooks Online, and it applies together with the rest of these terms.

Who may use HQ

We grant access to:

• our own team members, under their Lightdrop Google accounts, for Lightdrop's work;
• clients and their teams, for the specific pages, reports and dashboards we share with them, through the password or link we provide.

Access is personal to the person or company we gave it to. Do not share a password or link beyond the people it was meant for, and tell us if one gets out.

License

We grant you a limited, revocable, non-exclusive, non-transferable right to use HQ and the pages we share with you, for the purpose we shared them for. Everything else stays ours: the software, its design and the content we create. Your own materials and your own data remain yours.

The QuickBooks Online connection

HQ's connection to QuickBooks Online is used by Lightdrop alone, to read Lightdrop's own QuickBooks Online company, as our Privacy Policy describes. It is not offered to clients or to the public, and HQ never writes to the books. The person who authorizes the connection does so as an administrator of that QuickBooks company, under Intuit's own terms of service, and may end it at any time from HQ or from inside QuickBooks Online.

Lightdrop is not affiliated with, endorsed by or sponsored by Intuit Inc. QuickBooks and QuickBooks Online are trademarks of Intuit Inc. Intuit's services are governed by Intuit's terms, not by these.

Client materials and confidentiality

Reports, dashboards and pages we share with a client are confidential to that client and prepared for its use. Do not publish or forward them outside your company without our agreement. We handle your data under our Privacy Policy and any agreement we have signed with you; where a signed agreement and these terms differ, the signed agreement wins.

Availability and changes

We may change, suspend or end the website, HQ, any page or any connection at any time.

Disclaimer

The website, HQ and its pages are provided as they are and as available. To the extent the law allows, we make no warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. Figures shown from connected services, QuickBooks Online included, are as those services provided them and may lag behind or differ from the source.

Limitation of liability

To the extent the law allows, Lightdrop is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, data or business, arising from the use of the website or HQ. Our total liability for anything arising from them is limited to the fees you paid us for the service concerned in the twelve months before the claim, or one hundred US dollars if you paid none. Nothing here limits liability that the law does not allow to be limited.

Termination

We may end or suspend access at any time, with or without notice, including for a breach of these terms. The sections on ownership, license, confidentiality, disclaimer, limitation of liability and governing law survive.

Governing law

These terms are governed by the laws of the State of California and of the United States, without regard to conflict-of-law rules. Disputes go to the state or federal courts in Los Angeles County, California, and each party consents to their jurisdiction.

Changes to these terms

We post changes on this page with a new date. Continued use after a change means you accept it.
